1. Service Description

AutoSpot is an autonomous AI-powered advertising platform owned and operated by Fusion Foods LLC, a Washington State limited liability company. AutoSpot enables businesses to generate professional video ads, flyers, and social media content using artificial intelligence.

Core Features

• AI Video Ad Generator — input your business URL and receive a 30-second video ad with AI script, voiceover, and royalty-free background music in multiple aspect ratios
• AI Flyer Generator — static and animated promotional flyers
• Instagram Auto-Reply — automated comment and DM responses on your connected Instagram account
• Social Publishing — publish ads and flyers to Instagram, Facebook, and X (Twitter) on your behalf
• Ad Deployment Scheduler — schedule and automate social media publishing with a visual calendar
• Analytics Dashboard — track ad performance, post metrics, and engagement
• Square POS Integration — sync sales data to generate targeted, data-driven ad content
• Competitor Research Tool — market intelligence to inform your advertising strategy
• Progressive Web App (PWA) — installable on desktop and mobile devices for a native app experience

AutoSpot is a subscription-based Software-as-a-Service (SaaS) product. Features may evolve over time. We will provide reasonable notice of material feature removals.

2. User Accounts & Security

Account Registration

You must provide accurate, current, and complete information when creating your account. You are responsible for maintaining the accuracy of this information. One account per person or business entity — duplicate accounts may be terminated.

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Keep your password strong and unique to protect your account.

AutoSpot enforces OTP email verification after 7 or more days of account inactivity as an additional security measure.

Notify us immediately at the contact address in Section 14 if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your credentials.

Account Suspension

We reserve the right to suspend or terminate accounts that violate these Terms, are involved in fraudulent activity, are engaged in chargebacks or payment disputes without good cause, or that pose a security or legal risk to the platform or other users.

3. Subscription & Billing

Available Plans

Pricing Changes

The Monthly plan rate increases from $19.99/month to $29.99/month effective September 1, 2026. Existing subscribers will be notified at least 30 days in advance. The new rate applies to billing cycles beginning on or after September 1, 2026.

The Lifetime plan at $400 is available only until January 1, 2027. After that date, this plan will no longer be offered to new purchasers.

Auto-Renewal

Monthly subscriptions automatically renew at the end of each billing period unless cancelled. By subscribing, you authorize AutoSpot to charge your payment method on a recurring basis.

Failed Payments

If a payment fails, we will attempt to charge your payment method again. If payment remains outstanding after reasonable retry attempts, your account may be suspended until payment is resolved. You retain access to your account data during a brief grace period. Contact us to update your payment method.

Payment Processors

Payments are processed by Stripe (primary) and Square (secondary). By completing a purchase, you also agree to the applicable payment processor's terms of service. AutoSpot does not store full credit card numbers — payment data is handled securely by the processor.

4. Pay-As-You-Go (PAYG) Plan

How PAYG Works

The Pay-As-You-Go plan is token-based billing. You purchase token packs and spend tokens on actions within AutoSpot. There is no recurring subscription fee.

Token Pack Pricing

An auto-replenish option is available in your account settings. If enabled, AutoSpot will automatically purchase your chosen pack when your balance falls below a threshold you specify.

Token Expiration

Tokens do not expire as long as your account remains active. Tokens are tied to your account and cannot be transferred to another account.

Plan Lock: Cannot Switch to Monthly or Lifetime

PAYG subscribers cannot convert or upgrade to the Monthly or Lifetime plan. This restriction is permanent. The only way to access a different plan is to:

1. Delete your PAYG account from the dashboard
2. Wait 14 days for the full account purge to complete (see Section 7)
3. Re-register with the same email address as a brand-new account and select the desired plan

All data, including unused token balances, is permanently deleted after the purge. No refunds are issued for unused tokens (see Section 6).

Token Forfeiture

Unused tokens are forfeited upon account deletion. We do not issue refunds or credits for any remaining token balance at the time of account deletion or termination.

5. Free Trial

New Monthly plan subscribers receive a 7-day free trial. No credit card is charged during the trial period. At the end of the trial, your subscription automatically converts to a paid Monthly plan at the then-current rate unless you cancel before the trial ends.

We reserve the right to modify or discontinue the free trial offer at any time. Abuse of the trial (e.g., repeatedly creating accounts to extend trial access) will result in account termination.

6. Cancellation & Refunds

Cancellation

Monthly subscribers may cancel at any time from the account settings in the dashboard. Cancellation takes effect at the end of the current billing period — you retain full access until then. Cancellation does not entitle you to a prorated refund for the unused portion of the current billing period.

Refund Policy

• Monthly plan: No partial-month refunds. If you cancel mid-period, your access continues until the end of the billing cycle with no refund issued.
• Lifetime plan: Eligible for a full refund within 30 days of purchase. After 30 days, the Lifetime plan purchase is non-refundable.
• PAYG token packs: All token pack purchases are final and non-refundable. Unused tokens are not refunded under any circumstance, including account deletion or termination.

To request a refund within an eligible window, contact us at the address in Section 14. Refunds are processed through the original payment method and may take 5–10 business days to appear.

7. Account Deletion & 14-Day Purge

Deleting Your Account

You may request account deletion at any time from the dashboard settings. Account deletion is a permanent action subject to the following process:

1. Immediate suspension — Your account is suspended at the moment of deletion request. You lose access to all AutoSpot features immediately.
2. 14-day retention window — Your account data is retained for 14 days after the deletion request. During this window, you cannot access the account, but you may contact us to cancel the deletion if you change your mind.
3. Permanent purge — After 14 days, all account data is permanently and irrecoverably deleted, including: generated ads and videos, uploaded assets, contact lists, analytics history, scheduled deployments, token balances (if PAYG), Square and Instagram integration data, and billing history.

Re-Registration

After the 14-day purge is complete, you may re-register using the same email address as an entirely new account. The new account has no connection to the deleted account.

PAYG Plan and Deletion

As noted in Section 4, PAYG subscribers who wish to switch plans must delete their account and wait 14 days before re-registering. Unused tokens are forfeited and non-refundable upon deletion.

8. AI-Generated Content & Intellectual Property

Content Ownership

You own the AI-generated ad content, scripts, videos, and flyers created through your AutoSpot account ("Your Content"). You may use Your Content for any lawful commercial or personal purpose.

License to AutoSpot

By using AutoSpot, you grant Fusion Foods LLC a non-exclusive, royalty-free, worldwide license to use, store, process, and analyze anonymized and aggregated data derived from your use of the service for the purpose of improving AutoSpot's AI models and service quality. This license does not allow us to publicly display, sell, or attribute your specific ads to your business without your consent.

No Performance Guarantee

AI-generated content is provided for your use. AutoSpot makes no representations or warranties regarding the performance, effectiveness, engagement, or conversion rates of any generated ad content. Results depend on factors outside our control, including your industry, target audience, advertising platform algorithms, and ad spend.

Platform Compliance — Your Responsibility

You are solely responsible for ensuring that all content generated and published through AutoSpot complies with the terms of service, advertising policies, and community standards of the platforms on which you publish (including Meta, X/Twitter, Google, and others). AutoSpot is not liable for ad rejections, account suspensions on third-party platforms, or fines resulting from non-compliant content.

Third-Party Assets

Background music included in generated videos is sourced from royalty-free CC0 libraries. Royalty-free does not mean license-free on all platforms — you are responsible for verifying compatibility with the specific platform's audio licensing policies before publishing.

9. Third-Party Integrations

AutoSpot connects to external services on your behalf when you authorize those connections. By connecting an integration, you consent to the data access described below.

Social Platforms — Instagram, Facebook, X (Twitter)

When connected, AutoSpot publishes content, reads engagement data, and (if enabled) sends automated replies on your behalf. You authorize these actions via OAuth. You can revoke access at any time from the Integrations tab in your dashboard or directly from the platform's security settings.

Square POS

When connected, AutoSpot syncs your Square sales data (revenue, order count, top products, customer segments, and loyalty data) to provide context for AI-generated ad content. You authorize read-only access to your Square merchant account via OAuth. We cache this data for ad generation purposes. You may disconnect Square at any time.

Google — Calendar, Gmail, Analytics

Google integrations are used to enhance the ad scheduling and analytics experience. Data accessed is used only for service delivery within AutoSpot and is not shared with third parties beyond what is required to operate the feature.

Stripe & Square — Payment Processing

Payment processing is performed by Stripe and Square under their respective terms of service and privacy policies. AutoSpot does not receive or store your full payment card information.

Service Availability

AutoSpot is not responsible for downtime, policy changes, API changes, or account suspensions by third-party services. We do not guarantee that any integration will remain available indefinitely. We will provide reasonable notice if a major integration is discontinued.

10. Acceptable Use

You agree not to use AutoSpot to generate, publish, or distribute content that:

• Promotes hate speech, discrimination, or violence against any person or group
• Advertises illegal products, services, or activities in any applicable jurisdiction
• Contains deceptive, false, or misleading claims about products or services
• Infringes on the intellectual property rights of any third party
• Constitutes harassment, abuse, or threats toward any individual or entity
• Violates any applicable law or regulation
• Is pornographic or sexually explicit
• Advertises controlled substances, weapons, or other heavily regulated goods without proper licensing

Platform Restrictions

AutoSpot reserves the right to refuse ad generation for content that violates these guidelines, even if your request does not violate applicable law. Our AI content filters may automatically flag or decline prohibited content requests.

No Reverse Engineering or Resale

You may not attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of AutoSpot. You may not resell, sublicense, or offer AutoSpot's functionality as a service to third parties without our written permission. You may not use automated scraping tools, bots, or scripts to access AutoSpot outside of normal use.

11. Referral Program

How It Works

Monthly and Lifetime subscribers may refer new users to AutoSpot using their unique referral link, available in the dashboard.

Rewards

• Referrer: Earns 1 free month of AutoSpot service for each referred user who completes a paid subscription. Free months are stackable and applied to future billing cycles.
• Referred user: Receives a 10% discount on their first month (Monthly plan only). This discount is applied at checkout via the referral link.

Eligibility

A referral qualifies when the referred user completes a paying subscription (not a free trial only). Self-referrals, referrals to existing AutoSpot accounts, or referrals to PAYG plan subscribers do not qualify for rewards.

Abuse Policy

We reserve the right to cancel referral credits and suspend accounts engaged in referral abuse, including creating fake accounts, manipulating referral tracking, or gaming the program in a manner inconsistent with its intent.

12. Disclaimers & Limitation of Liability

Service Provided "As Is"

AutoSpot is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.

No Guarantee of Uptime

We strive to maintain high availability but do not guarantee uninterrupted service. Planned maintenance, third-party outages, or circumstances beyond our control may cause downtime. We are not liable for losses resulting from service unavailability.

Limitation of Liability

To the maximum extent permitted by applicable law, Fusion Foods LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, lost revenue, lost data, business interruption, or cost of substitute services, even if advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising from or related to these Terms or your use of AutoSpot shall not exceed the greater of (a) the total amount you paid to AutoSpot in the 3 months preceding the claim, or (b) $100 USD.

Force Majeure

Fusion Foods LLC is not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, internet outages, cyberattacks, government actions, or third-party service failures.

Indemnification

You agree to indemnify and hold harmless Fusion Foods LLC and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of AutoSpot, your violation of these Terms, or your violation of any third-party rights.

13. General Terms

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of AutoSpot that cannot be resolved informally shall be submitted to binding arbitration in Auburn, Washington, USA, under the rules of the American Arbitration Association. You waive your right to a jury trial and to participate in a class action lawsuit.

Modifications to These Terms

We may update these Terms from time to time. We will notify you of material changes by email (sent to your registered address) and by posting a notice in the AutoSpot dashboard at least 14 days before changes take effect. Continued use of AutoSpot after the effective date constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Fusion Foods LLC regarding AutoSpot and supersede all prior agreements, representations, or understandings.

No Waiver

Failure by AutoSpot to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations to a successor entity in connection with a merger, acquisition, or sale of assets.
